Bookselling: Repelling Borders

Barnes & Noble fights a takeover bid

THE past year in the life of Barnes & Noble would make a gripping page-turner. On December 6th America’s best-known chain of bookstores became the target of an activist investor for the second time in a few months when Borders, its closest rival, made an offer of $950m to buy it, backed by William Ackman of Pershing Square, a hedge fund that is Borders’ largest shareholder. Earlier this year Barnes & Noble fought off an attempted boardroom coup led by Ron Burkle, another investor, though in the course of doing so the firm agreed to consider all its strategic options—in effect, putting itself on sale.

There have also been two court battles. In August, an attempt by Mr Burkle to block an anti-takeover “poison pill” was thrown out. A trial is still pending on a second lawsuit brought by various public pension funds alleging that Barnes & Noble’s board had not exercised appropriate independence in approving the firm’s $514m purchase from its chairman and founder, Leonard Riggio, of Barnes & Noble College Booksellers. …

Borders Kobo E-Reader Looks to Rival Kindle, Nook

Borders plans on joining the e-reader wars with its Kobo device, which will be priced at around $109 less than both Amazon.com’s Kindle and Barnes Nobles Nook e-reader. These companies find themselves in pitched battle against not only each other, but also the Apple iPad, which includes a robust e-reader application. Google also plans on selling e-books online as early as June, raising the specter of yet another aggressive competitor in the space. Borders is likely betting that its lower price will be a crucial differentiator, although it risks being left behind as the Kindle and Nook add features.
– Chalk this one up under the category of “inevitable:”
Borders Group announced that it would release its own e-reader, the Kobo, on
June 17. That brings the bookseller into an e-reader market already occupied by

The endangered bookstore: Edited out

The sickliest part of the books business is the shops that sell them

THESE are not easy times for booksellers. Borders, a big American one, ditched its boss in January and has closed stores, but is still at risk of collapse, some analysts say. The British chain of the same name, which it once owned, failed last year. Barnes & Noble, the world’s biggest bookseller, appointed a new boss last month to help it confront the triple threat of the recession, increased competition and e-books.

The struggles of booksellers can be explained in part by a surge in competition. More than half of book sales in America take place not in bookshops but at big retailers such as Wal-Mart and Target, which compete to peddle bestsellers at ever steeper discounts. Online retailers, too, are wreaking havoc. In 2009 Amazon sold 19% of printed books in North America, reckons Credit Suisse, compared with Barnes & Noble’s 17% and Borders’ 10%. By 2015, the bank estimates, Amazon will sell 28%. …
